Hmm Shepherd buying shares again

Just noticed Shepherd Offshore bought 410,000 shares (an extra 0.31% holding of the club) yesterday.

 

Considering they received shares instead of cash for the last dividend, I wonder what at the moment gives them confidence in buying more shares?

 

Of course they will earn even more in dividends as a result of this but any thoughts?

He's bought another 234,527 shares on Tuesday too. Now holds 27.47% of the club and has spent about £283,000 in the last 2 days on buying up shares.

 

There has to be something in the offing as I cannot see any reason to invest in the club at the present can you?

 

I'd be very surprised if he could afford to buy out all the remaining shares if he gets to the 30% figure and has to make an offer to all shareholders.

I know what you are thinking Craig. He cannot use the club's money to buy shares for himself BUT by not burdening the club with any more debt for player purchases it would help to make it more attractive for a buyout. Or if he does take it private then he'll want the least amount of loans outstanding as possible.

 

We can only speculate (unfortunately) until he reaches the 30% figure and has to divulge his plans :rolleyes:

Fat Fred has constantly increased his shares in the past, so there is nothing new. I cannot see any direct link between the purchase of shares and the lack of making transfer funds available.

 

I somewhat doubt that there are any revolutionary plans in Fat Fred's pipeline, just that he probably wants to increase his annual dividends...

I don't think there actually is a link, but I was playing devil's advocate for a minute...

 

I don't recall him buying 700,000 shares a day for three days running in the past, but I could be wrong..

I can't really name names but someone we work with on a regualr basis is pally with the Shepherds. Apparently the plan is to get rid of little Douggie. I don't know if buying these shares helps that plan but the word is that Fat Fred and the rest of the board want the Halls out.

Hope that is true but considering the board only consists of 3 in the Hall camp (Junior, his sister and junior's pal from Gibraltar) and the 2 Shepherds, then the Halls have the voting advantage unless, of course, Revill is now on fatso's side.

It is interesting to note that these shares are being 'bought' by Shepherd Offshore rather than anything Deadly Doug can put his name too...

He then can delist the shares from the LSE at around 70 -75%

 

He has to have around 95% to FORCE you to sell out

I'm good friends with the brother of an IFA who just happened to be an investment banker in his past employment. Put this to him:

 

Perhaps you can shed some light on this one. It's been noticed that in the last 3 days, the Newcastle United chairman has bought around 700,000 shares in the club on each day which has raised his holding in the club to just over 28%.

 

Speculation is rife that, like the Glazers did with that club up north who no-one likes, he's trying to buy enough shares so that the club comes off the stock exchange and back into private ownership.

 

What's the rules and regs of this? Someone is suggesting that if he gets to 30%, he has to make a formal bid for the ownership of the club. Is that true?

 

And at what percentage will the club be actually taken off the SE?

 

I have shares in the club which I know are meaningless anyway, I'm just curious if they are literally not going to be worth the paper they're written on in a short space of time...

I hadn't seen this was going on. It's very interesting timing for buying more shares in NUFC. Should he go over a holding of 29.99% then he is required to make an offer for the rest of the company unless he is given a waiver by the Takeover panel.

 

Should he actually bid, then you would receive an amount of money per share which is unlikely to be below the current market price but also probably not much more either. If you refused to accept the offer, he'd need to get over 50% to get the bid unconditional and then I think it's 75% and then 90% to force other holders to sell out.

 

I don't know but my hunch is he won't go over 29.99%.

I read into it what I said above, more shares, more dividends, more pies ... I don't think Fat Fred has any other revolutionary plans...

Buying shares at 41p each for a divi of 2p isn't very clever- he's buying:-

 

1. to support the price - you have to remember the shares are counted as Assets on Shepherd Offshore's balance sheet - if they go down the tubes then the Shepherds main company is hurt

 

2. to put himself in pole position if someone DOES bid for the whole thing - or tries to buy out the Halls
